Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer") and MediaNuova ("Nuovabot", "we", "us", or "our"), the operator of the Nuovabot platform accessible at nuovabot.com. By registering an account or using the Service, you agree to these Terms in full.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "Customer" refers to that entity.
1. The Service
Nuovabot is a B2B SaaS platform that allows businesses ("Customers") to create AI-powered chatbots trained on their own documents and deploy them to their own customers ("End Users"). The Service includes the dashboard, chatbot builder, embeddable widget, hosted chat pages, REST API, analytics, and all related features.
2. Eligibility and Account Registration
The Service is intended exclusively for businesses and individuals acting in a professional or commercial capacity. By creating an account you confirm that:
- You are at least 18 years old and legally capable of entering into contracts;
- You are registering on behalf of a business, or acting as a sole trader or professional;
- The information you provide during registration is accurate and complete;
- You will keep your login credentials confidential and notify us immediately of any unauthorised access.
We reserve the right to refuse or terminate accounts at our sole discretion, including where we believe the account is being used in breach of these Terms.
3. Acceptable Use
3.1 Permitted Use
You may use the Service to build, configure, and deploy chatbots for legitimate business purposes in accordance with these Terms and all applicable laws.
3.2 Prohibited Use
You must not use the Service to:
- Generate or distribute content that is illegal, defamatory, discriminatory, harassing, threatening, or abusive;
- Deceive or mislead End Users, including by deploying chatbots that impersonate real people or organisations without authorisation;
- Create, distribute, or facilitate malware, phishing, spam, or other malicious content;
- Infringe the intellectual property rights of any third party;
- Collect personal data from End Users without a lawful basis and appropriate disclosures;
- Circumvent rate limits, abuse the API, or attempt to access another Customer's data;
- Scrape, copy, or reverse-engineer any part of the Service;
- Use the Service in any way that violates the acceptable use policies of our underlying AI providers (Anthropic, OpenAI).
We may suspend or terminate your account without notice if we determine, in our sole discretion, that you are in breach of these restrictions.
4. Subscriptions, Billing, and Payment
4.1 Plans and Pricing
The Service is offered on the following plans:
- Free - €0/month: 1 chatbot, 25 messages/month, 5 documents, 5 MB storage;
- Starter - €19/month (or €190/year): 2 chatbots, 1,000 messages/month, 25 documents, 50 MB storage;
- Pro - €49/month (or €490/year): 5 chatbots, 4,000 messages/month, 100 documents, 500 MB storage;
- Business - €99/month (or €990/year): 10 chatbots, 10,000 messages/month, unlimited documents, 2 GB storage;
- Enterprise - pricing on request: unlimited everything, custom contract.
4.2 Billing and Payment
Payments are processed by Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis. Monthly plans are billed each month; annual plans are billed upfront for the full year.
4.3 Overage
If you exceed your monthly message allowance on a paid plan, additional messages are billed at the per-message overage rate in effect at that time. Overage charges are calculated and invoiced at the end of each billing period. The Free plan has a hard monthly cap with no overage option.
4.4 Refunds
Monthly subscriptions are non-refundable. If you cancel a monthly plan, access continues until the end of the current billing period. For annual subscriptions, you may request a pro-rated refund for the unused portion of the year within 30 days of your renewal date by contacting hello@nuovabot.com. Refunds are issued at our discretion and will not be granted where a breach of these Terms has occurred.
4.5 Free Plan
The Free plan is provided as-is with no uptime guarantees. We reserve the right to modify the features, limits, or availability of the Free plan at any time with reasonable notice.
4.6 Price Changes
We may change our prices with at least 30 days' written notice by email. Price changes take effect at the start of your next billing period.
5. Customer Responsibilities
You are solely responsible for the chatbots you create and deploy through the Service, including:
- Ensuring your chatbots comply with all applicable laws and regulations in the jurisdictions where they operate;
- Providing End Users with any required privacy notices and obtaining any necessary consents before deploying a chatbot that collects personal data;
- Configuring your chatbot appropriately and reviewing its responses for accuracy before deployment;
- Handling all End User enquiries, complaints, and rights requests relating to your chatbot's outputs;
- Ensuring the documents you upload do not infringe third-party intellectual property or contain unlawful content.
Nuovabot is a data processor acting on your instructions in respect of End User personal data. You are the data controller. Please refer to our Data Processing Agreement for further details.
6. AI-Generated Content Disclaimer
Chatbot responses are generated by Anthropic's Claude AI models. AI-generated content may be inaccurate, incomplete, or out of date. Nuovabot makes no representations or warranties as to the accuracy, reliability, or fitness of any chatbot output for any particular purpose.
You must not present AI-generated content as verified facts or professional advice (legal, medical, financial, or otherwise) without appropriate human review and disclaimers. You are solely responsible for how your chatbots are used and how their outputs are presented to End Users.
7. Intellectual Property
7.1 Customer Content
You retain all ownership of the documents and other content you upload to the Service ("Customer Content"). By uploading Customer Content, you grant Nuovabot a non-exclusive, worldwide, royalty-free licence to process, store, chunk, and index that content solely to provide the Service to you. We will not use your Customer Content to train AI models.
7.2 Nuovabot Platform
Nuovabot and its licensors own all rights in the platform, software, interface, trademarks, and related technology. Nothing in these Terms transfers any ownership of the platform to you. You may not copy, modify, reverse-engineer, or create derivative works of the Service.
8. Service Availability
We aim to keep the Service available and reliable. However, we do not guarantee any specific uptime or availability levels for the Free or Starter plans. We will use commercially reasonable efforts to minimise planned and unplanned downtime.
For Business and Enterprise plans, service level commitments (if any) will be set out in a separate order form or enterprise agreement.
We may carry out scheduled maintenance and will endeavour to notify you in advance where possible. We are not liable for downtime caused by third-party infrastructure (including Anthropic, Cloudflare, Supabase, or Stripe) or events outside our reasonable control.
9. Confidentiality and Security
Each party agrees to keep the other party's confidential information secure and not to disclose it to third parties, except as required to provide or receive the Service or as required by law.
You are responsible for maintaining the security of your account credentials and API keys. Each chatbot API key is displayed only once at creation and stored as a one-way hash. Treat your API keys as you would passwords.
10. Termination
10.1 Termination by Customer
You may cancel your subscription at any time through the dashboard or by contacting hello@nuovabot.com. Cancellation takes effect at the end of your current billing period for monthly plans, or as described in Section 4.4 for annual plans.
10.2 Termination by Nuovabot
We may suspend or terminate your account immediately and without notice if you breach these Terms. For termination unrelated to a breach, we will give you at least 30 days' written notice by email.
10.3 Effect of Termination
On termination, your right to access and use the Service ceases. We will retain your data (including chatbot configurations, documents, and conversation history) for a 30-day grace period, during which you may contact us to request a data export. After the grace period, all your data will be permanently deleted from our systems.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Neither party will be liable to the other for indirect, incidental, consequential, punitive, or special damages, including loss of profits, revenue, data, or business, even if advised of the possibility of such damages;
- Nuovabot's total aggregate liability to you arising out of or in connection with these Terms (whether in contract, tort, or otherwise) will not exceed the total fees paid by you in the 12 months preceding the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Nuovabot, MediaNuova, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in breach of these Terms; (b) your Customer Content; (c) your chatbot's interaction with End Users; or (d) your violation of any applicable law or third-party rights.
13. Warranties and Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, we disclaim all implied warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be error-free, uninterrupted, or free from harmful components, or that AI-generated outputs will be accurate or complete.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the new Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
If you do not agree to the revised Terms, you may terminate your subscription before the effective date in accordance with Section 10.1.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the Netherlands, without regard to conflict of laws principles. Any disputes arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of the Netherlands.
16. General
Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and Nuovabot with respect to the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: Neither party is liable for delays or failures in performance caused by circumstances outside its reasonable control.
Language: These Terms are written in English. In the event of any inconsistency between an English version and a translation, the English version prevails.
